Terms and Conditions for Suppliers and Buyers

These Terms and Conditions ("Terms") govern the use of the services offered by [Your Company Name] ("Broker", "we", "us", or "our") via [your website URL] and apply to both suppliers ("Supplier", "you") and buyers ("Buyer", "you"). By using our services, you agree to comply with these Terms.

1. Role of the Broker
1.1 We operate as an intermediary facilitating transactions between Suppliers and Buyers.
1.2 We do not guarantee the performance, quality, or delivery of goods or services provided by either party unless otherwise stated in writing.
1.3 We may act on behalf of either party or both, depending on the nature of the transaction.

2. Supplier Responsibilities
2.1 Suppliers must provide accurate and up-to-date product/service information including price, specifications, lead time, and availability.
2.2 Suppliers warrant that goods/services offered comply with applicable laws, are free of defects, and match the agreed specifications.
2.3 Suppliers are solely responsible for fulfilling confirmed orders, meeting delivery deadlines, and resolving product-related issues.
2.4 Any changes in price, availability, or terms must be communicated in advance and in writing.

3. Buyer Responsibilities
3.1 Buyers must provide accurate order details, shipping information, and other relevant data to facilitate the transaction.
3.2 Buyers are responsible for inspecting products upon delivery and reporting any issues within [e.g., 5 business days].
3.3 Buyers agree to make payments in accordance with the agreed payment terms.

6. Disclaimers and Limitation of Liability
6.1 We do not guarantee the authenticity or financial standing of any Buyer or Supplier.
6.2 We are not liable for any losses, damages, or disputes arising from the products or services provided by Suppliers or requested by Buyers.
6.3 Both Buyers and Suppliers agree to indemnify and hold us harmless from any claims arising from their breach of these Terms or negligence.

7. Dispute Resolution
7.1 We may assist in dispute resolution but are not obligated to act as an arbitrator.
7.2 Any unresolved disputes between Buyers and Suppliers must be handled directly or through independent legal channels.

8. Termination

9. Intellectual Property
